Terms of Service

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2. Definition of Terms

For the purposes of this Agreement, in addition to the capitalized terms defined elsewhere in this Agreement, the following terms shall have the following meanings:

• Agreement: means the Sign-Up Form and these User Terms (as updated from time to time);‍
• Sign-Up Form: means the online sign-up or registration form completed by the user which refers to these terms, and which may set out certain commercial terms such as the terms, fees, and features of the Service to be delivered to the user.
• Personal Data: means any information or data that alone or together with any other information relates to an identified or identifiable natural person ("data subject"), or data considered to be personal data under Privacy Laws. An identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier, or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person.
• Privacy Laws: means any law, statute, directive, or regulation, including any and all legislative and/or regulatory amendments or successors thereto, regarding privacy, data protection, information security obligations, and/or the processing of Personal Data (including without limitation the General Data Protection Regulation 2016/679 on the protection of natural persons concerning the processing of personal data and on the free movement of such data as amended or superseded from time to time).
• Services: means the services offered by Logome.ai and subscribed for by the user under the Master Agreement.
• Logome.ai Platform means logome.ai’s online, web-based platform that allows Retailers to generate logos for their personal or business use.

3. User Rights

• You retain all rights to the logos generated by the Service for your personal or business use.
• You may modify, distribute, and display the logos generated by the Service without any additional permissions required from us.

4. Intellectual Property

• All logos generated by the Service remain the intellectual property of logome.ai.
• By using the Service, you agree that any logos generated may be used by us for promotional purposes unless otherwise specified by you.
• You may use the logos generated by the Service for your personal or business use, subject to these Terms.

5. Use License

• We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for generating logos for your personal or business use, subject to these Terms.
• You have the right to use the logos generated by the Service for any lawful purpose, including but not limited to branding, marketing, and promotional activities.
• You may not:
  i. Modify or copy the materials from the Service;
  ii. Use the logos generated by the Service for any unlawful purpose;
  iii. Remove any copyright or other proprietary notations from the logos generated by the Service.
• d. This license shall automatically terminate if you violate any of these restrictions and may be terminated by us at any time.

5. Privacya. Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices.

6. Limitation of LiabilityIn no event shall we be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the Service.

7. ModificationsWe reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

By using our Service, you acknowledge that you have read and understood these Terms and agree to be bound by them.

License Terms

Use Guidelines. User shall not: (i) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share or otherwise exploit or make the Service available to any third party; (ii) interfere with or disrupt the integrity or performance of the Service or the data contained therein; (iii) attempt to gain unauthorized access to the Service or its related systems or networks; or (iv) disclose any benchmarking or results of the Service to third parties without logome’s prior written consent.

Restrictions. User shall not (and shall not allow any third party to): (a) modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Service; (b)circumvent any user limits or other timing or use restrictions that are built into the Service; (c)remove any proprietary notices, labels, or marks from the Service; (d) frame or mirror any content forming part of the Service; or (e) access the Service to (i) build a competitive product or service, or (ii) copy any ideas, features, functions or graphics of the service.

Service Changes by Logome.ai: logome.ai reserves the right to alter, suspend, or discontinue the Service or the Platform at any time and for any reason or no reason without any liability to the user. In such cases, logome.ai will endeavor to give notice of such changes. The service may also be unavailable from time to time due to maintenance or malfunction of the computer or network equipment or other reasons. Logome.ai may periodically add or update the information and materials on the Logome.ai platform without notice.
